PREFACE TO THE 2023 EDITION
The Seventh Edition of this book comes in two comprehensivevolumes. Its title has been expanded to Notes in Business Law(Regulatory Framework for Business Transactions) to reflect the changein the description of, and the inclusion of additional topics in the syllabusfor, the subject in the CPA Licensure Examination effective October2022.
Volume I covers the discussion of the principles on what may bereferred to as the “traditional business law subjects," namely, Obligationsand Contracts, Sales, Pledge, Mortgage and Antichresis,and Partnerships,all of which are provided in the Civil Code of the Philippines, and PrivateCorporations, which are covered by the provisions of the RevisedCorporation Code of the Philippines that has since become effective on.February 23, 2019 after the release of the previous edition. Volume IIdwells on the discussion of laws some of which had been enacted in recentyears as a result of the continuing developments in information technologyand in the business and legal environments, such as the ElectronicCommerce Act,Ease of Doing Business and Efficient Delivery ofGovernment Service Delivery Act, Data Privacy Act,the Anti-MoneyLaundering Act, Government Procurement Law,Philippine CompetitionAct,Financial Rehabilitation and Insolvency Act and several other statutesapplicable to commerce and business.
This edition retains the previous format which presents thediscussions of the law in outline form, with the text streamlined and sometopics rearranged to achieve the maximum benefit to the user. Itincorporates recent jurisprudence relevant to the topics covered, as well asadditional illustrations and examples, for the student's greaterunderstanding of the law.
